Former HDFC Bank Chairman Breaks Silence on Sudden Exit
Former part-time Chairman of HDFC Bank, Atanu Chakraborty, has finally addressed the intense speculation surrounding his abrupt resignation. In a detailed interview on March 30, 2026, he made it clear that his decision was not triggered by any single incident but by a growing sense of misalignment that had built up over the past two years.
Chakraborty emphasised that his resignation letter, submitted on March 17 and effective March 18, 2026, says everything that needs to be said. “My resignation letter is self-explanatory,” he stated firmly, adding that it fully captures the reasons behind his departure.
Ethical Incongruence, Not a One-Off Event
According to Chakraborty, the core issue was a deepening incongruence between his personal values, ethics, and understanding of governance standards and the priorities and processes followed inside the bank. He described it as a personal call once such differences become evident.
He directly responded to comments made by HDFC Bank CEO Sashidhar Jagdishan in a recent interview. While the CEO had referred to certain lapses as “technical” errors in documentation, Chakraborty expressed a different view, highlighting concerns over the timeliness of accountability.
Questions Over Delayed Action on Dubai Irregularities
Chakraborty pointed to specific governance matters that raised red flags for him. He referenced the September 2025 incident in Dubai where local regulators uncovered irregularities, leading to HDFC Bank being barred from onboarding new customers in the region. This resulted in the exit of nearly a dozen senior officials, including the former compliance head and chief internal auditor.
He also drew attention to the delayed penalties imposed on officials involved in the wrongful sale of AT1 bonds in Dubai. Fines were levied several years after the incident, which he said raised serious questions about the speed and effectiveness of corrective action within the bank.
Strong Focus on Values and Governance
For Chakraborty, the problem went beyond facts and figures. It involved doubts about the bank’s overall approach and decision-making culture. He stressed that when there is a mismatch in values and ethics, stepping down becomes the only appropriate personal choice for an independent director.
His comments have reignited debate in the banking and corporate world about the role of independent directors and the importance of timely governance and compliance.
Market Impact and Ongoing Scrutiny
The resignation sent shockwaves through the market. HDFC Bank shares dropped sharply in the days following the announcement, reflecting investor unease. The bank has since initiated internal reviews with external legal experts, while market regulator SEBI is also examining the matter for any disclosure or governance-related concerns
